("Lexus") on its own behalf and on behalf of Toyota Credit Canada Inc, operating as Lexus Financial Services ("LFS"), and certain other affiliated companies (collectively referred to as "Affiliates" or “Affiliate”). You are invited to access, browse and use this Site on the following legal terms and conditions ("Legal Terms and Conditions").

Certain features of the Sites may require you to download content, software and/or agree to additional terms and conditions, policies and disclaimers (collectively, "Additional Terms"), which are hereby incorporated by reference into these Terms unless expressly set forth otherwise in such Additional Terms. If there is a conflict between these Terms and any Additional Terms, the Additional Terms will control with respect to the specific feature.

By accessing, browsing or using this Site, you are agreeing to these Legal Terms and Conditions. This forms a legally binding agreement between you and Lexus and LFS or an Affiliate. Accordingly, Lexus and LFS and the Affiliates encourage you to read the Legal Terms and Conditions, including the lexus.ca privacy policy. If you do not agree with the Legal Terms and Conditions, do not use this Site. If at any time during your use of this Site you disagree with the Legal Terms and Conditions, kindly cease to use this Site. The trademarks, service marks, logos and other marks used on this Site by Lexus and LFS and the Affiliates (the "Trademarks") are either owned or controlled by Lexus or LFS or the applicable Affiliate. The Trademarks may not be used without the prior written permission of Lexus or LFS or the Affiliates, as applicable and may not be used in connection with any product or service in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Lexus or LFS or the applicable Affiliates. All other trademarks, service marks, logos and other marks which appear on this Site are the property of their respective owners.

You agree to comply with any requisite additional copyright notices, or restrictions contained in any of the Content.

2. RESTRICTIONS ON USE

(a) Downloads: You may download and use a reasonable number of copies of the Content on any single computer for your own personal, non-commercial use only, provided that you: (a) keep all copyright and other proprietary notices intact, (b) do not modify the Content, and (c) do not use the Content to suggest an association with Lexus or LFS or an Affliate or any of their respective products, services or brands. You may not modify, publish, transmit, transfer, sell, reproduce, upload, post, distribute, perform, display, create derivative works from, or in any way exploit any of the Content, in whole or in part, except as Lexus or LFS or an Affiliate expressly permit in these Legal Terms and Conditions. Your use of the Content for any purpose other than the one expressly permitted in these Legal Terms and Conditions (including your use of any of the Content on any other website or networked computer environment) is a violation of the intellectual property rights and other proprietary rights of Lexus or LFS or applicable Affiliate and may subject you to civil liability or criminal prosecution under applicable laws.

(b) Account registration: If you register on any of the Sites, you may be asked to provide additional information, including your Vehicle Identification Number. Please see our Privacy Policy for more information on how we protect your Personal Information.

If you opt-in to receive information from Lexus, you agree to provide true, accurate and complete information about yourself as prompted by the online or mobile forms. You may also have the opportunity to register for an account on the Sites ("Account") to access and use certain features of the Sites, including certain applications offered by Lexus and certain specially-tailored products and services (e.g., for Lexus Guests). If we have reasonable grounds (as determined by us in our sole discretion) to suspect that the Personal Information you provide for opt-in or registration purposes is untrue, inaccurate or incomplete, we have the right to refuse, with or without notice, any and all current or future requests you make through the Sites and/or to suspend or terminate your Account.

We shall have no liability associated with or arising from your failure to maintain accurate Personal Information in connection with your Account, including, but not limited to, your failure to receive critical information about Lexus and/or the Sites.

Your selection and use of an Account username and password, and any other information required for security access and authentication purposes, are subject to these Terms. You agree not to share your username, password and any security-related information with anyone. You are responsible for all use of your Account and for ensuring that access to and use of your Account complies fully with these Terms. You acknowledge and agree that any use of your Account through your username, password and security information shall be deemed to be your actions which we may rely upon. You are solely responsible for protecting the confidentiality and security of your Account.

3. CANADIAN CONTENT

The vehicles described on this Site contain uniquely Canadian specifications and equipment and are available only to Canadian residents in Canada and only where permitted by law. The pricing and other financial information on this Site is in Canadian dollars, unless Lexus or LFS or the applicable Affiliate state otherwise, and Lexus and LFS or the applicable Affiliate are permitted to change the pricing and other financial information at any time without notice to you. The promotional sales programs and services described on this Site are only available in those provinces and territories of Canada that are specifically identified in the description of the promotional sales programs and services.

4. LEXUS DEALERS

The sale of any Lexus vehicle is effected through an independent authorized Lexus automobile Dealer (a "Dealer") and is subject to, and governed exclusively by, the Legal Terms and Conditions of the applicable sale, lease or loan contract entered into between you and the Dealer. The Dealers are not affiliates of Lexus or LFS or any Affiliate. Accordingly, any purchase you make is concluded exclusively between you and the Dealer you select from this Site, and no purchase is made with Lexus or LFS or any Affiliate. All financial services and promotional sales programs on this Site are only available through the Dealers, and in the case of regional sales programs which may not be described on this Site, through the Dealers in the region. The Dealer that you select from this Site reserves the right to determine whether you qualify for credit or any promotional sales program. The Dealers are under no obligation to sell any vehicle at the prices posted on this Site and Lexus and LFS and the Affiliates are not responsible for the prices set by any Dealer. Lexus is permitted to change any vehicle specifications, promotional sales programs, and other information available on this Site at any time without notice to you.

5. MOBILE SERVICES/APPLICATIONS

If permitted or available through any feature or service on any of the Sites, you (a) upload content to any of the Sites or download content from any of the Sites via a mobile device, (b) receive and reply to messages from or on any of the Sites, or to access or make posts using text messaging, (c) browse any of the Sites from your mobile device and/or (d) access certain features through a mobile application you have downloaded and installed on your mobile phone (collectively the "Mobile Services"), you must have a mobile communications subscription (or have the consent of the subscriber of such mobile device) for the necessary carrier services with a participating carrier or otherwise have access to a mobile communications network through which Lexus makes the Mobile Services available. You are responsible for any and all service fees associated with any such mobile access, including text messaging charges for each text message you send and receive on your mobile device, and all applicable data fees.

Your use of certain of the Mobile Services may incur charges and be subject to other terms from Lexus, which charges and other terms will be provided to you via separate terms and conditions for the applicable Mobile Services. Please check your wireless plan because your carrier's per-minute, text messaging, and data or other charges may apply. You must provide at your own expense the equipment and wireless connections needed for you to use the Mobile Services, and you are solely responsible for any costs you incur to access the Mobile Services. You should keep in mind that the use of the Mobile Services to send content to another person via email or SMS (Short Message Service, or "text messaging") may result in wireless charges to both the sender and the receiver.

6. DISCLAIMERS

(a) No Reliance - All of the information contained on this Site is provided to you for information purposes only and does not in any way constitute advice or an offer to buy or sell any vehicle by Lexus or LFS or any Affiliate. You should not use or rely on any of the information on this Site, including without limitation any calculations of prices, taxes, finance rates and valuations, as a substitute for the information that is available to you from a Dealer. In the event that any information on this Site is inconsistent with, or conflicts with, information supplied to you by a Dealer, the Dealer's information takes precedence and supercedes the information on this Site. This Site, Lexus, LFS, the Affiliates and the Dealers are not responsible for any detrimental reliance you may place on this Site.

(b) No Legal Relationship - Your use of this Site is not intended and shall not be deemed to create any legal relationship of any kind between you and Lexus or LFS or an Affiliate, or amend or vary any existing legal relationship.

(c) Future Products and Services - From time to time Lexus or LFS or Affiliates may identify proposed future products or services on this Site that are not currently available through a Dealer. This information is provided for informational purposes only and Lexus, LFS, the Affiliates and the Dealers are under no obligation to provide or otherwise deliver these products or services to you.

(d) No Site Warranties - This Site, any hyper-linked website and the Content and any functionality contained on this Site are provided on an "as is, as available" basis and without representations, warranties or conditions of any kind, either express or implied by Lexus or LFS or Affiliates. Lexus and LFS and Affiliates do not warrant that the functionality on this Site will be uninterrupted or error-free, that defects on this Site will be corrected, or that this Site or the server that makes it available are free of viruses or other harmful components. Lexus and LFS and Affiliates are not liable to you for damage to your computer or computer system which result from your accessing, browsing or using this Site. Lexus and LFS and Affiliates do not represent or warrant that the information on this Site is accurate, complete or current. All of the risk associated with your use of this Site, including but not limited to, the risks associated with the quality and performance of this Site and with the accuracy, comprehensiveness and timeliness of the Content is assumed solely by you.

(e) No Product Warranties - Lexus and LFS and Affiliates do not make any representations, warranties or conditions of any kind, express or implied, as to any vehicle, product or service, including but not limited to, the merchantability, merchantable quality or fitness for a particular purpose of any vehicle, product or service. Lexus and LFS and Affiliates expressly disclaim any other implied warranties imposed by law. If you choose to purchase a Lexus vehicle from a Dealer that you select from this Site, your purchase shall be governed solely and exclusively by any agreement entered into between you and the Dealer, and under no circumstances shall Lexus and LFS and Affiliates have any liability with respect your purchase.

(f) Security - This Site is a member of the VeriSign Secure Site Program which involves applying security sockets layer software encryption technology to all information that you submit to Lexus or LFS or Affiliates, as applicable, through this Site. Except as required for compliance with the VeriSign Secure Site Program, Lexus and LFS and Affiliates do not make any representations, warranties or conditions of any kind, express or implied, as to the security of any information (including, without limitation, credit card and other personal information) you may provide to Lexus or LFS or Affiliates in the course of using this Site or any hyper-linked website. You are solely responsible for maintaining the confidentiality of your password(s).

(g) General - To the maximum extent permissible by law, Lexus and LFS and Affiliates disclaim all representations, warranties and conditions express or implied, including but not limited to, representations, warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement of proprietary rights and those arising from a course of dealing, trade or performance.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall Lexus, LFS, Affiliates and the Dealers, and each of their respective directors, officers, agents, employees, representatives, licensors and those for whom Lexus, LFS, Affiliates and the Dealers are in law responsible (collectively, the "Lexus Parties") be liable for any special, incidental, indirect, consequential, punitive or exemplary damages of any kind whatsoever (including, without limitation, damages for loss of revenue, loss of profits, failure to realize expected savings, interruption of activities, or any other pecuniary or economic loss) arising out of the use of or inability to use this Site or any product or service described or provided on this Site, even if any of the Lexus Parties have been advised of the possibility of such damages or could reasonably foresee such damages occurring.

In any event, the Lexus Parties' total liability to you for all damages, losses, and causes of action, whether in contract, tort (including negligence), strict liability or otherwise, shall be limited to one hundred dollars ($100). In no event shall any Lexus Party be liable for any damages of any kind arising from the use of any hyper-linked site. You agree that this limitation of liability is comprehensive and applies to all damages of any kind.

8. INDEMNITY

You hereby agree to indemnify, defend and hold harmless the Lexus Parties from and against any and all claims, demands, actions, liabilities, losses, costs and expenses (including reasonable legal fees) in connection with: (i) any use or alleged use of this Site under your password by any other person, whether or not authorized by you, (ii) your breach of these Legal Terms and Conditions; and (iii) your violation of any law or the rights of a third party arising out of your use of this Site. The Lexus Parties reserve the right to assume, at their own expense, the exclusive control and defense of any claims, demands and actions arising in connection with this indemnity and you agree to cooperate with the Lexus Parties' defense of these claims, demands and actions.

9. MODIFICATION OR TERMINATION OF SERVICE

Lexus and LFS and Affiliates reserve the right, in their sole respective discretion, to restrict, suspend or terminate your access to all or any part of this Site at any time, for any reason and without prior notice to you and without any liability to you for doing so. Lexus and LFS and Affiliates may change, modify, suspend or discontinue all or any part of this Site at any time without prior notice to you and without liability to you for doing so.

10. LINKS TO THIRD PARTY SITES

This Site contains hyper-links to third party websites. Your use of any website linked to this Site is at your own risk and Lexus and LFS and Affiliates are not responsible for the availability, accuracy or reliability of the contents of any linked website or any link contained in a linked website. Lexus and LFS and Affiliates provide these links to you for your convenience only, and the availability of any link does not imply or constitute Lexus's or LFS's or Affiliates’s endorsement of the linked website or its contents.

11. PRIVACY POLICY

During your use of this Site, you may voluntarily submit personal information to Lexus or LFS or an Affiliate. Lexus and LFS and Affiliates encourage you to take the time to read the lexus.ca privacy policy (the "Privacy Policy") before using this Site. By using this Site, you accept the Privacy Policy which outlines how personal information collected through this Site is handled by Lexus and LFS and Affiliates. If you do not agree with the Privacy Policy, please do not provide us with any personal information.

Your vehicle may be equipped with Enform connected vehicle technology that electronically transmits Vehicle Data to Lexus. You should review our Enform Privacy Notice for an explanation of our collection and use of your Vehicle Data and Personal Information in that context.

12. CHANGES TO THESE LEGAL TERMS AND CONDITIONS

Lexus and LFS and Affiliates reserve the right to, at any time, modify these Legal Terms and Conditions, and you agree to be bound by any such modifications. Such modifications shall be effective immediately upon Lexus or LFS or Affiliate giving notice thereof, which may be given by any means, including, but not limited to, posting on this Site. You agree to regularly review these Legal Terms and Conditions posted at this Site and to be aware of such modifications. Your use of this Site following any such modification constitutes your agreement to follow and be bound by the modified Legal Terms and Conditions. If at any time, these Legal Terms and Conditions are no longer acceptable to you, you should immediately cease all use of this Site.”

13. JURISDICTION; GOVERNING LAW AND ARBITRATION

Lexus and LFS and Affiliates make no representation that the Content on this Site is appropriate or available for use in any particular location. You are responsible for compliance with the local laws of your location, if and to the extent such local laws are applicable. These Legal Terms and Conditions and your use of this Site shall be governed by and construed in accordance with the laws in force in the Province of Ontario and the federal laws of Canada, without reference to any choice of law or conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Legal Terms and Conditions or any communication with or transaction through this Site. Any disputes or claims arising out of or related to these Legal Terms and Conditions or your use of this Site shall be submitted to binding arbitration pursuant to the Arbitration Act 1991(Ontario) or any successor legislation. Arbitration of all matters will be determined by a single arbitrator acceptable to both parties, acting reasonably, and all such arbitration proceedings shall be held exclusively in Toronto, Ontario. Any claim or cause of action that you may have with respect to your use of this Site must be commenced within one (1) year after the claim or cause of action arises.

14. GENERAL

If any provision of these Legal Terms and Conditions shall be deemed unlawful, void or otherwise unenforceable, then such provision shall be deemed severable from these Legal Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions. Sections 1, 2, 4, 6, 7, 8, 10, 11, 13, 14 and 15 shall survive any termination of this Agreement as well as any other provisions which by their terms or nature are intended to survive. These Legal Terms and Conditions comprise the entire agreement between you and Lexus and LFS and an Affiliate and supersede all prior agreements between you and Lexus and LFS and an Affiliate with respect to your use of this Site.

15. LANGUAGE
