1. ELIGIBILITY:

Lexus Next Chapter Film Masters Challenge (the "Challenge") is sponsored by Lexus, a division of Toyota Canada Inc. (the "Sponsor"). The Challenge is open only to the following invited film makers: (i) Jerick "Anyo" Collantes; (ii) Alexandre Richard; (iii) Darrell Wonge; (iv) Morgana McKenzie; and (v) Nathaniel Atakora (each, a "Film Maker").

Public voting in the Challenge is open to individual residents of Canada who have reached the legal age of majority in their province/territory of residence (each, a "Voter").

2. AGREEMENT TO BE LEGALLY BOUND BY RULES:

By participating in this Challenge, each Film Maker and Voter is signifying their agreement that they have read and agree to be legally bound by these Official Rules (the "Rules").

3. FINANCIAL GRANT:

There will be a total of one (1) financial grant (the "Financial Grant") available to be won by a Film Maker. The Financial Grant consists of a cheque payable to the confirmed winning Film Maker in the amount of $10,000 CAD.

The following conditions apply to the Financial Grant:

  • To the fullest extent permitted by applicable law, the confirmed winning Film Maker understands and acknowledges that they may not seek reimbursement or pursue any legal or equitable remedy from the Sponsor, its associated and affiliated entities, advertising/promotion agencies, any other individuals and entities involved in the development, production, implementation, administration, judging or fulfillment of the Challenge, or any of their respective agents, employees, directors, successors, and assigns (collectively, the "Released Parties") should the Financial Grant fail to be fit for its purpose or is in any way unsatisfactory.
  • The Financial Grant must be accepted as awarded and is not transferable or assignable (except as may be specifically permitted by Sponsor in its sole and absolute discretion).
  • No substitutions are permitted, except at Sponsor's option.
  • Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Financial Grant; and/or (b) substitute the Financial Grant for any reason with a reward of equal or greater retail value.

4. SELECTION PROCESS:

Prior to the start of the Challenge, each Film Maker produced one (1) Film (each, a "Film") for the Sponsor. Each Film Maker's Film will be posted on Lexus.ca/FilmMastersChallenge (the "Website") between October 17, 2024 at 8:00 a.m. ET and October 31, 2024 at 11:59 p.m. ET (the "Voting Period"). Eligible Voters will be able to visit the Website and vote (each, a "Vote" and collectively, the "Votes") for their favourite Film.

VOTING LIMIT: There is a strict limit of one (1) Vote per Voter. For the avoidance of any doubt, this means that the same person cannot submit a Vote more than one (1) time during the Voting Period.

If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that attempts were made by anyone to: (i) submit more than one (1) Vote per Voter; (ii) use multiple names, multiple identities, multiple email addresses, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with the Sponsor's interpretation of the letter and/or spirit of these Rules to submit Votes; (iii) engage in any form of systematic voting from the same computer/IP address; and/or (iv) engage in any form of proxy voting scheme; then it may result in the disqualification, in the sole and absolute discretion of the Sponsor, of the Votes, Film and/or Film Maker to which such Votes relate. Any Votes determined by Sponsor, in its sole and absolute discretion, to be in violation of the Sponsor's interpretation of the letter and/or spirit of these Rules (including, without limitation, Votes that cannot be validated in accordance with these Rules to the complete satisfaction of Sponsor) are subject to disqualification in the sole and absolute discretion of the Sponsor.

All Votes are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof (in a form acceptable to the Sponsor): (i) for the purposes of verifying the eligibility and/or legitimacy of any Vote or other information entered (or purportedly entered) for the purposes of this Challenge; and/or (ii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Challenge in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification of the applicable Vote(s) that cannot be verified to the complete satisfaction of the Sponsor.

IMPORTANT NOTE: Individuals may encourage others to vote for a Film (e.g. via various social media sites and platforms); however, no form of incentive, inducement (including, without limitation, reciprocal voting sites and/or services), prize or chance of receiving any incentive, inducement, or prize may be offered as part of such encouragement in furtherance of receiving such individual's Vote for any Film. In addition, proxy voting schemes (or anything reasonably resembling a proxy voting scheme, as determined by Sponsor in its sole and absolute discretion) are hereby expressly prohibited. Any individual determined by the Sponsor and/or its representative(s) to be engaging in any such behaviours and/or in violation of the Sponsor's interpretation of the letter and/or spirit of these Rules (all as determined in the sole and absolute discretion of the Sponsor) will be disqualified, and the corresponding Votes, Film and/or Film Maker is/are subject to disqualification in the sole and absolute discretion of the Sponsor.

IMPORTANT NOTE: JUST BECAUSE A NUMBER OF VOTES APPEARS ON A LEADERBOARD OR OTHERWISE DOES NOT MEAN THAT THE FILM MAKER ASSOCIATED WITH THOSE VOTES IS OR WILL BE THE WINNING FILM MAKER. ANY OR ALL VOTES MAY BE VERIFIED BY THE SPONSOR IN ITS SOLE AND ABSOLUTE DISCRETION AT ANY TIME AND FOR ANY REASON. ANY SUCH PUBLIC DISPLAY OF VOTES IS FOR ENTERTAINMENT PROPOSES ONLY. ONLY THE SPONSOR CAN DEEM AN ENTRANT TO BE THE WINNING FILM MAKER.

On November 11, 2024, 2024 (the "Selection Date") in Toronto, ON at approximately 5:00 p.m. ET, the Sponsor will tabulate the final number of eligible Votes submitted and received during the Voting Period in accordance with these Rules. The Film Maker that received the highest number of eligible Votes during the Voting Period (as determined by the Sponsor in its sole and absolute discretion) will be selected as the eligible winner of the Financial Grant. Odds depend on the number of eligible Votes submitted and received during the Voting Period in accordance with these Rules.

NO ONE IS THE WINNING FILM MAKER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS THEM AS THE WINNING FILM MAKER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED AS THE CONFIRMED WINNING FILM MAKER, the eligible winning Film Maker will be required to sign and return the Sponsor's declaration and release form, which (among other things): (i) confirms continuing compliance with these Rules; (ii) acknowledges acceptance of the Financial Grant (as awarded); and (iii) releases the Sponsor and all of the other Released Parties from any and all liability in connection with the awarding and use/misuse of the Financial Grant. If the eligible winning Film Maker: (a) fails to return the properly executed Challenge documents within the specified time; (b) cannot accept (or is unwilling to accept) the Financial Grant (as awarded) for any reason; and/or (c) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then they will be disqualified.

5. GENERAL CONDITIONS:

This Challenge is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Challenge are final and binding on all participants without right of appeal.

ANY INDIVIDUAL OR ENTITY DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE SPONSOR'S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.

The Sponsor and the other Released Parties will not be liable for: (i) any failure of the Website or any other website or platform during the Challenge; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Vote(s) and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an participant's or any other person's computer or other device related to or resulting from participating in the Challenge; (v) anyone being incorrectly and/or mistakenly identified as the winning Film Maker or the eligible winning Film Maker; and/or (vi) any combination of the above.

The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend this Challenge (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Challenge as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of this Challenge in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Challenge, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. The Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

Each Film Maker and Voter hereby expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted for the purpose of administering the Challenge and in accordance with Sponsor's privacy policy (available at: https://www.lexus.ca/lexus/en/privacy). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

The Sponsor reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Challenge mechanics stipulated in these Rules, to the extent deemed necessary by Sponsor, for purposes of verifying compliance by any Film Maker, Vote(s) and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Challenge as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Challenge-related materials, including, but not limited to, the French version of these Rules, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsor or any of the other the Released Parties in connection with the Challenge will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction's laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to this Challenge.
